PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE TOHIFY PLATFORM. BY ACCESSING OR USING THE PLATFORM IN ANY MANNER, INCLUDING BROWSING, REGISTERING AN ACCOUNT, LISTING PRODUCTS OR SERVICES, OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL APPLICABLE POLICIES INCORPORATED HEREIN BY REFERENCE.
These Terms & Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Buyer", "Seller", or "you") and Tohpros Technologies Limited, a company incorporated under the laws of Hong Kong SAR ("Tohify", "we", "us", or "our"), governing your access to and use of the marketplace platform accessible at www.tohify.com (the "Platform"). If you do not agree to these Terms, you must immediately cease all use of the Platform.
1. Nature of the Platform and Tohify's Role
Tohify operates as a technology-enabled marketplace that provides infrastructure, tools, and a commercial environment enabling independent third-party sellers to offer professional services and digital products to buyers worldwide. The categories of services and products available on the Platform include, but are not limited to: translation and interpretation services, business consulting, supplier sourcing, quality inspection, IT and software development, graphics and UI/UX design, digital templates, media assets, printable content, AI tools, e-books, and educational resources.
Tohify does not itself provide any of the services or products listed by sellers on the Platform. Tohify acts solely as a neutral technological intermediary and is not a party to, nor responsible for, any contract formed between a buyer and a seller. Sellers are independent professionals or entities operating autonomously and are not employees, agents, partners, or representatives of Tohify. Tohify makes no representations, warranties, or guarantees regarding the quality, legality, accuracy, completeness, suitability, or timeliness of any listings, services, or products offered by sellers on the Platform.
2. Eligibility and Account Registration
2.1 Age Requirement. You must be at least eighteen (18) years of age to access or use the Platform. By registering, you represent and warrant that you meet this age requirement. If you are accessing the Platform on behalf of a legal entity, you further represent that you have the authority to bind that entity to these Terms.
2.2 Account Accuracy. You agree to provide accurate, truthful, current, and complete information during registration and to maintain and promptly update your account information to keep it accurate and complete at all times. Providing false or misleading information constitutes a material breach of these Terms and may result in immediate account suspension or termination.
2.3 Account Security. You are solely responsible for maintaining the strict confidentiality of your login credentials, including your password. You agree not to share your credentials with any third party. You accept full responsibility for all activities conducted under your account, whether or not authorized by you. In the event of any suspected unauthorized access, security breach, or compromise of your account, you must notify Tohify immediately at help@tohify.com. Tohify shall not be liable for any loss, damage, or liability arising from your failure to comply with this obligation.
2.4 One Account Policy. Each individual or entity may maintain only one registered account on the Platform. The creation of multiple accounts to circumvent suspensions, restrictions, fees, or other Platform policies is strictly prohibited and may result in permanent termination of all associated accounts.
3. Seller Obligations and Conduct
3.1 Listing Accuracy. Sellers are solely responsible for the accuracy, completeness, and legality of their listings. All listings must clearly and honestly describe the service or product offered, including its scope, deliverables, timelines, pricing, revision policy, and any applicable limitations or exclusions. Misleading, deceptive, or ambiguous listings are strictly prohibited.
3.2 Qualifications and Compliance. Sellers warrant that they possess all qualifications, certifications, licences, and regulatory approvals required to provide the services they list, and that all listed digital products are lawfully created and distributed. Sellers must comply with all applicable local, national, and international laws and regulations, including without limitation intellectual property law, consumer protection legislation, data privacy regulations (including GDPR where applicable), tax obligations, and export control laws.
3.3 Prohibited Listings. Sellers may not list, offer, or distribute on the Platform any content or products that: (i) infringe the intellectual property rights of any third party; (ii) are counterfeit, fraudulent, stolen, or misrepresented; (iii) violate any applicable law or regulation; (iv) contain malware, spyware, viruses, or other harmful code; (v) are obscene, defamatory, discriminatory, or otherwise offensive; or (vi) promote illegal activities or facilitate harm to individuals or organizations.
3.4 Platform Commission. Tohify charges a commission on each successfully completed transaction processed through the Platform. The applicable commission rate is disclosed in the seller's dashboard and is subject to periodic revision. Sellers will be notified of any changes to commission rates in advance. By continuing to use the Platform following such notification, sellers accept the revised rates.
3.5 Tax Obligations. Sellers are solely responsible for determining and fulfilling their own tax obligations in connection with their activities on the Platform. Tohify does not withhold or remit taxes on behalf of sellers unless required to do so by applicable law.
4. Buyer Obligations and Conduct
4.1 Due Diligence. Buyers are responsible for conducting adequate due diligence before completing any purchase on the Platform. This includes carefully reviewing listing descriptions, seller profiles, ratings, reviews, and any terms specified by the seller. Tohify strongly encourages buyers to communicate directly with sellers through the Platform's messaging system prior to purchase to clarify expectations and deliverables.
4.2 Provision of Information. Buyers agree to provide sellers with all information, materials, and instructions necessary and reasonably required for the fulfilment of an order. Delays or failures in delivery caused by the buyer's failure to provide required information in a timely manner shall not constitute grounds for a refund or dispute.
4.3 Prohibited Conduct. Buyers may not attempt to obtain services or products without completing payment through the Platform, engage in unauthorized chargebacks, or seek to exploit sellers through bad-faith disputes. Any attempt to manipulate the Platform's review or rating system is strictly prohibited.
5. Payment Terms
5.1 Payment Processing. All financial transactions conducted through the Platform are processed by PCI-DSS compliant third-party payment service providers, including but not limited to Stripe, PayPal, and Payoneer. By completing a purchase, you agree to be bound by the terms of service of the applicable payment provider in addition to these Terms.
5.2 Currency. All prices displayed on the Platform are denominated in United States Dollars (USD) unless otherwise expressly stated on a specific listing. Tohify is not responsible for any currency conversion fees, foreign transaction charges, or taxes levied by your financial institution or jurisdiction.
5.3 Escrow and Fund Release. Upon payment by a buyer, funds are held in a secure escrow arrangement administered by Tohify until the order is successfully completed and the applicable dispute resolution period has elapsed without an unresolved claim. Upon successful completion, funds are released to the seller net of the applicable platform commission.
5.4 Payment Holds. Tohify reserves the right to place a hold on, withhold, or reverse payments in circumstances including, but not limited to: suspected fraud, active disputes, violations of these Terms, or where required by applicable law or by a payment processor. Tohify shall notify the affected party of any such action and provide a reasonable opportunity to respond.
6. Order Fulfilment and Delivery
6.1 Seller Delivery Obligations. Sellers are obligated to deliver the agreed service or product within the timeframe specified in their listing. If a seller anticipates a delay, they must proactively communicate this to the buyer through the Platform's messaging system and obtain the buyer's written consent to the revised timeline. Unexplained failure to deliver within the agreed timeframe entitles the buyer to initiate a dispute in accordance with Section 8 of these Terms.
6.2 Delivery Confirmation for Digital Products. Delivery of a digital product is deemed to have occurred when the product file or access link has been made available to the buyer through the Platform. It is the buyer's responsibility to download and verify the product within the review period.
6.3 Delivery Confirmation for Services. Delivery of a professional service is deemed to have occurred when the agreed deliverables (including files, reports, recordings, or other outputs) have been submitted to the buyer through the Platform's delivery system. Buyers are encouraged to review all deliverables promptly upon receipt.
6.4 Order Completion. An order is considered complete when: (i) the buyer formally marks the order as complete; (ii) the buyer approves the delivery without raising a dispute; or (iii) the dispute resolution window has expired without an active claim. Once an order is marked complete, it is not eligible for a refund except in cases of fraud or gross misrepresentation as determined solely by Tohify.
7. Cancellations
7.1 Cancellation by Buyer. A buyer may request cancellation of an order prior to the seller commencing work or preparing the digital product for delivery. Once a seller has begun fulfilment, cancellations are subject to the seller's individual cancellation policy as stated in the listing. Buyers should review this policy carefully before purchase.
7.2 Cancellation by Seller. If a seller is unable to fulfil an order for any reason, the seller must notify the buyer immediately and request a mutual cancellation through the Platform. In such cases, the full purchase amount shall be refunded to the buyer. Repeated unexplained cancellations by a seller may result in listing removal or account suspension.
7.3 Mutual Cancellations. Where both parties agree to cancel an order, a full refund will be issued to the buyer. Mutually cancelled orders may affect a seller's performance metrics on the Platform.
8. Refund Policy
Tohify is committed to maintaining a fair, transparent, and commercially reasonable refund framework that balances the legitimate interests of both buyers and sellers. Given the diverse nature of services and digital products available on the Platform, the following refund provisions apply:
8.1 Digital Products — General Rule
Due to the inherently non-returnable nature of digital content, all purchases of digital products are considered final upon delivery. Once a digital file has been made available for download or access, refunds are not ordinarily available. Buyers are strongly advised to carefully review product descriptions, previews, and seller ratings prior to purchase, and to contact the seller with any questions before completing a transaction.
8.2 Digital Products — Exceptional Refund Circumstances
Notwithstanding the general rule in Section 8.1, a refund for a digital product may be considered in the following limited circumstances:
- The delivered product is materially and demonstrably different from what was described in the listing (e.g., wrong file format, incorrect content, fundamentally misrepresented functionality);
- The product files are corrupted, incomplete, password-protected without disclosure, or technically non-functional at the time of delivery and the seller has failed to provide a working replacement within 48 hours of being notified;
- The same product was purchased in duplicate in error within the same session.
- Refund requests under this section must be submitted within 48 hours of the delivery date. Requests submitted after this period will not ordinarily be accepted. All requests must be accompanied by supporting documentation, including screenshots, error logs, or other evidence substantiating the claim.
8.3 Professional Services
For professional and freelance services, refunds may be considered in the following circumstances:
- The seller failed to deliver any work within the agreed or extended timeframe without prior communication or mutual agreement;
- The delivered work materially fails to meet the requirements and specifications that were explicitly agreed upon through the Platform's communication system prior to commencement;
- The seller misrepresented their qualifications, credentials, or capabilities in a manner that directly affected the outcome of the service.
- Refund requests for services must be submitted through the Platform's formal dispute resolution system within seven (7) calendar days of the stated delivery date. Requests submitted after this period will not be accepted unless exceptional circumstances can be demonstrated. Dissatisfaction with the quality of work that nonetheless meets the agreed specifications does not, in itself, constitute grounds for a refund.
8.4 Non-Refundable Circumstances
Refunds will not be issued in any of the following circumstances:
- The buyer has changed their mind after purchase, where the product or service has been delivered as described;
- The buyer provided incorrect, incomplete, or insufficient information or instructions that adversely affected the outcome of the service;
- The buyer failed to review or download the delivered digital product within a reasonable time after it was made available;
- The order was completed or marked as approved by the buyer;
- The refund request is submitted outside the applicable time window specified in Sections 8.2 or 8.3;
- The product or service was used, accessed, or otherwise consumed prior to the refund request.
8.5 Refund Process and Timeline
To initiate a refund request, the buyer must contact Tohify at help@tohify.com with the subject line "Refund Request — Order [Order ID]" and include a detailed description of the issue, supporting evidence, and the requested resolution. Tohify will acknowledge receipt of the request within two (2) business days and aims to resolve all refund claims within ten (10) business days of acknowledgement. Approved refunds will be credited to the original payment method. Processing times may vary depending on the payment provider and may take up to 7–14 business days to appear in the buyer's account.
8.6 Tohify's Discretion
Tohify reserves the absolute right to assess all refund and dispute requests on a case-by-case basis and to make final, binding determinations in its sole discretion. Tohify may request additional information or documentation from either party during the assessment process. Submission of a refund request does not guarantee approval. Decisions made by Tohify in connection with refund and dispute resolution are final and binding on all parties.
9. Dispute Resolution
9.1 Platform Mediation. In the event of a dispute between a buyer and a seller, the parties are encouraged to first attempt to resolve the matter directly through the Platform's messaging system in a good-faith and professional manner. If no resolution is reached within five (5) calendar days of the dispute being raised, either party may escalate the matter to Tohify by submitting a formal dispute request through the Platform.
9.2 Tohify's Role in Disputes. Upon receiving a formal dispute, Tohify will review all relevant communications, order details, and evidence submitted by both parties. Tohify acts as a neutral mediator and does not advocate for either party. Tohify's decisions on disputed matters are final and binding. Both parties agree to cooperate fully with Tohify's dispute resolution process, including providing all requested documentation within the specified timeframe.
9.3 Prohibited Chargebacks. Buyers agree not to initiate chargebacks or payment reversals through their financial institution without first exhausting the Platform's dispute resolution process. Unauthorized chargebacks may result in account suspension, recovery of the disputed amount, and potential legal action.
10. Intellectual Property
10.1 Tohify's Intellectual Property. All content, materials, branding, software, features, functionality, and technology forming part of the Platform — including but not limited to logos, trademarks, trade names, interface designs, source code, and proprietary algorithms — are the exclusive property of Tohpros Technologies Limited and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Tohify's intellectual property.
10.2 Seller Content. Sellers retain full ownership of all intellectual property rights in the content, services, and products they list on the Platform. By listing content on Tohify, sellers grant Tohify a non-exclusive, worldwide, royalty-free, sublicensable licence to display, reproduce, promote, and distribute their listings for the purpose of operating and marketing the Platform.
10.3 Buyer Licence for Digital Products. Upon successful purchase of a digital product, the buyer is granted a limited, non-exclusive, non-transferable, personal licence to use the product for the purposes specified by the seller in the listing. Unless expressly stated otherwise by the seller, purchased digital products may not be resold, redistributed, sublicensed, publicly displayed, or used for commercial purposes.
10.4 Infringement Reporting. Tohify respects the intellectual property rights of third parties and expects all users to do the same. If you believe any content on the Platform infringes your intellectual property rights, please contact us at help@tohify.com with detailed information about the alleged infringement. Tohify will investigate all valid claims and take appropriate action, which may include removal of the offending content.
11. Prohibited Conduct
The following conduct is strictly prohibited on the Platform and may result in immediate account suspension, permanent termination, and/or legal action:
- Listing, offering, or distributing illegal, fraudulent, counterfeit, or materially misrepresented products or services;
- Engaging in or facilitating any form of financial fraud, including but not limited to money laundering, unauthorized use of payment methods, or identity theft;
- Harassing, threatening, intimidating, defaming, or abusing any other user of the Platform;
- Circumventing Tohify's payment systems by soliciting or conducting transactions outside the Platform;
- Uploading, transmitting, or distributing malware, viruses, spyware, ransomware, or any other malicious or harmful code;
- Impersonating any person, entity, or organization, or falsely representing your affiliation with any party;
- Attempting to gain unauthorized access to any part of the Platform, its systems, databases, or other users' accounts;
- Manipulating or artificially inflating ratings, reviews, or performance metrics;
- Using automated bots, scrapers, or other tools to extract data from the Platform without Tohify's prior written consent;
- Violating any applicable law, regulation, or third-party right in connection with your use of the Platform.
12. Limitation of Liability
12.1 To the fullest extent permitted by applicable law, Tohpros Technologies Limited, its directors, officers, employees, affiliates, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or in connection with: (i) your use of or inability to use the Platform; (ii) any transaction or relationship between you and any seller or buyer; (iii) any content, products, or services provided by third-party sellers; or (iv) any unauthorized access to or alteration of your transmissions or data.
12.2 Tohify's total aggregate liability to you for any claim arising under or in connection with these Terms or your use of the Platform shall not exceed the greater of: (i) the total fees paid by you to Tohify in the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred United States Dollars (USD $100).
12.3 Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by law.
13. Disclaimer of Warranties
THE PLATFORM, ALL CONTENT, AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR COURSE OF DEALING. TOHIFY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. TOHIFY DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCTS OR SERVICES ADVERTISED OR OFFERED BY THIRD-PARTY SELLERS ON THE PLATFORM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Tohpros Technologies Limited and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use or misuse of the Platform; (iii) your listing, sale, purchase, or delivery of any product or service; (iv) any content you submit, post, or transmit through the Platform; or (v) your violation of any applicable law or the rights of any third party.
15. Termination
15.1 Tohify reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to the Platform at any time and for any reason, including without limitation for breach of these Terms, engaging in fraudulent or harmful conduct, or for operational or legal reasons, without prior notice and without liability to you.
15.2 Upon termination of your account, all licences and rights granted to you under these Terms shall immediately cease. Any pending transactions at the time of termination will be handled in accordance with Tohify's then-current policies. Sections of these Terms that by their nature should survive termination — including but not limited to Sections 10, 12, 13, 14, 16, and 17 — shall survive any termination or expiration of this Agreement.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed exclusively in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, their breach, termination, or validity shall be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR. If you are a consumer residing in a jurisdiction where mandatory consumer protection laws apply, you may also be entitled to bring proceedings in your local courts.
17. Amendments to These Terms
Tohify reserves the right to modify, update, or replace any part of these Terms at any time, at its sole discretion. All changes will become effective upon posting to the Platform. Where changes are material, Tohify will provide notice via email or a prominent in-Platform notification at least fourteen (14) days prior to the effective date. Your continued use of the Platform following the effective date of any amended Terms constitutes your binding acceptance of those changes. If you do not agree with any revised Terms, you must cease using the Platform before the changes take effect.
18. Miscellaneous
18.1 Entire Agreement. These Terms, together with Tohify's Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Tohify with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
18.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
18.3 Waiver. Tohify's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
18.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without Tohify's prior written consent. Tohify may freely assign its rights and obligations under these Terms without restriction.
18.5 No Agency. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between Tohify and any user.
